
Atara Biotherapeutics (NASDAQ:ATRA) held its 2026 annual meeting of shareholders virtually on June 9, with shareholders voting to approve all four proposals presented by the company, according to the meeting transcript.
Anhco Cokey Nguyen, Atara’s president and chief executive officer and a member of the board, opened the meeting at 9:01 a.m. Pacific Time. Nguyen said the meeting was conducted through a virtual platform hosted by Broadridge Financial Solutions and noted that it was being recorded and would be archived for one year at the meeting site.
Quorum Established for Shareholder Vote
John Chao, Atara’s head of legal and corporate secretary, reported that the company had a complete list of stockholders of record as of April 14, 2026, the record date for the meeting. Chao also said that a notice of the annual meeting had been mailed to stockholders of record.
Chao said proxies had been received for 6,521,052 of the 8,512,272 shares of common stock outstanding on the record date, representing approximately 76% of the total outstanding shares. He said that constituted a quorum, allowing the company to conduct the official business of the meeting.
Shareholders Approve Four Proposals
Shareholders considered four proposals at the meeting. The first was the election of two directors to serve until the 2029 annual meeting of stockholders and until their successors are elected. The nominees were Anhco Nguyen and Nachi Subramanian.
The second proposal was an advisory vote to approve the compensation paid to Atara’s named executive officers, as described in the company’s proxy statement. The third proposal sought approval of the first amendment to the company’s 2024 Equity Incentive Plan, increasing the number of shares of common stock reserved for issuance under the plan by 400,000. The fourth proposal was the ratification of Deloitte & Touche LLP as Atara’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.
After the proposals were presented, Nguyen said there were no questions. The polls closed at 9:07 a.m. Pacific Time.
Preliminary Results Announced
Chao reported the preliminary voting results on behalf of the Inspector of Election. He said the election of Anhco Nguyen and Nachi Subramanian as directors was carried. He also said the advisory vote on executive compensation was approved.
In addition, shareholders approved the amendment to the 2024 Equity Incentive Plan to increase the share reserve by 400,000 shares, and ratified Deloitte & Touche LLP as the company’s independent registered public accounting firm for the 2026 fiscal year.
Chao said a full tally of the final voting results would be published in a Current Report on Form 8-K to be filed with the Securities and Exchange Commission within four business days of the meeting.
The formal portion of the meeting concluded after the preliminary results were announced. Nguyen said there were no additional questions and thanked shareholders for their attendance and continued support.
