
QT Imaging (NASDAQ:QTI) shareholders approved all three proposals presented at the company’s 2026 annual meeting, including the election of two Class II directors, the ratification of its independent auditor and an expansion of the company’s equity incentive plan.
The virtual annual meeting was held July 28, 2026, for the fiscal year ended Dec. 31, 2025. Avi Katz, chairman of QT Imaging Holdings’ board, chaired the meeting, while Chief Executive Officer Raluca Dinu conducted the proceedings.
Directors Elected Through 2029
- Professor Weiner received at least 6.30 million votes in favor, representing 93.71% of shares voting on the proposal.
- Timm received at least 6.67 million votes in favor, representing 99.25% of shares voting on the proposal.
Weiner was already serving as a director, while Timm was nominated as a director candidate. Other directors present at the meeting included Katz, John Klock, Daniel Dickson, Jim Greene and Dinu, who also serves as president, secretary and director.
Auditor Appointment Ratified
Stockholders also ratified the appointment of BPM LLP as QT Imaging’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.
At least 8.62 million shares, or 99.42% of the shares represented at the meeting and voting on the matter, supported the auditor ratification, according to Ishani Patel of Sodali & Co., who served as inspector of elections.
Equity Plan Amendment Approved
Shareholders approved an amendment to QT Imaging’s 2024 Equity Incentive Plan to increase the number of shares authorized and reserved for issuance. The proposal received at least 5.68 million votes in favor, or 85.03% of shares voting on the measure.
The meeting had a quorum, with shares entitled to cast at least 8.70 million votes represented by proxy. As of the June 23, 2026 record date, QT Imaging had 13.77 million shares of common stock outstanding.
Jay Jennings, QT Imaging’s chief financial officer, voted proxies received by the company. Jeff Dietrich represented BPM LLP at the meeting, while Jeffrey Selman of DLA Piper LLP US represented the company’s outside corporate counsel.
Following the confirmation of voting results, Katz moved to adjourn the meeting, and the motion was seconded and approved.
