
What happened
Harrow, Inc. (NASDAQ: HROW) closed its TYRVAYA acquisition from Viatris Inc. and paid $30 million in cash at closing.
Harrow got worldwide rights to TYRVAYA except Japan. Viatris kept Japan commercialization rights and will pay Harrow royalties on future net sales there.
Harrow expects about 40 experienced Viatris employees to join its Ocular Surface commercial team in the fourth quarter of 2026.

Why it matters
The deal adds TYRVAYA, a dry eye product and the first and only FDA-approved nasal spray for dry eye disease, to Harrow's VEVYE franchise.
It gives Harrow two branded prescription therapies for the same market, which may widen its commercial reach.
Harrow said TYRVAYA will be available to eyecare professionals through its commercial organization right after closing.
Both brands use PhilRx as their main specialty pharmacy, and Harrow said one Ocular Surface commercial organization will support both products.
OptimistFi's calculation puts the $30 million upfront payment at 30% of the filing's up to $100 million total consideration cap.
The upside still depends on future net sales thresholds through 2029, and the 2027 revenue figure is management guidance rather than a reported result.

What's next
Harrow said it will onboard the roughly 40 former Viatris employees in the fourth quarter of 2026.
That is the next dated milestone in the filing, and stronger TYRVAYA adoption would support the acquisition case.
The contingent milestone payments use twelve-month measurement periods ending on or before December 31, 2029.
TYRVAYA sales through that date will determine whether any of the $70 million cap is earned.
Harrow also said it will file the Purchase Agreement as an exhibit to its Quarterly Report on Form 10-Q for the quarter ended September 30, 2026.
Better-than-expected 2027 TYRVAYA revenue would support the acquisition case, while weak sales would leave more of the contingent payment cap untouched.
