Aquestive (NASDAQ: AQST) secures $10 million upfront in Eton LIBERVANT deal

What happened

On October 13, 2026, Aquestive Therapeutics, Inc. (NASDAQ: AQST) said it entered a license agreement with Eton Pharmaceuticals, Inc. for LIBERVANT (diazepam) buccal film.

Eton got exclusive U.S. rights to commercialize the product for seizure clusters, subject to applicable regulatory approvals.

Aquestive received a $10.0 million upfront license fee.

The milestone pool totals up to $47.5 million.

That includes $10.0 million on first U.S. commercial sale, reduced to $5.0 million if full FDA approval for ages 2 to 5 has not been received.

It also includes $2.5 million on FDA approval for ages 6 to 11 and up to $35.0 million tied to annual U.S. sales.

The company will also receive royalties at a mid-teens percentage rate.

The supply agreement makes Aquestive the exclusive manufacturer and supplier. The initial term is 20 years, with automatic three-year renewals unless either side opts out.

Why it matters

OptimistFi's case is that the deal strengthens the path from partner revenue to product royalties. It adds upfront cash, milestone potential and a manufacturing role.

The contingent pool is larger than the upfront fee. Up to $35.0 million is tied to annual U.S. sales, and the rest depends on regulatory events.

The press release also says LIBERVANT has orphan-drug designation and patent protection extending into 2038.

In the press release's survey of 101 patients, 71% preferred film and 13% preferred nasal spray, a gap of 58 percentage points.

The key caveat is that the press release says those results reflect stated preferences, not comparative clinical outcomes. The larger payments still depend on future approvals and sales.

What's next

Eton expects LIBERVANT to be commercially available in April 2027, subject to final FDA approval. The Type 9 NDA has a PDUFA target action date of March 29, 2027.

Approval and launch would support the first-sale milestone and royalties. A delay would push those cash flows out.
