Emera (NYSE: EMA) agrees to ATCO and Canadian Utilities share swap

What happened

Emera Incorporated (NYSE: EMA) said on October 6, 2026, that it signed an arrangement agreement with ATCO Ltd. and Canadian Utilities Limited. Under the deal, Emera will acquire all ATCO shares and all Canadian Utilities shares not held by ATCO in exchange for Emera shares. ATCO will also spin out its industrial services business to SpinCo, a newly formed subsidiary of ATCO.

Emera's board approved the agreement and recommended issuing Emera shares. ATCO's and Canadian Utilities' boards also approved and recommended the deal. Sentgraf, Sentgraf Holdings Ltd. and the Margaret E. Southern Spousal Trust agreed to vote 38,768,833 ATCO shares and 1,283,846 Canadian Utilities shares in favor. The filing says a joint management information circular will follow, and meetings are expected in the first quarter of 2027.

Why it matters

The exchange ratios set consideration at 0.865 of an Emera share for each ATCO share, 0.755 for each Canadian Utilities Class A share and 0.819 for each Class B share. OptimistFi's comparison shows the $720 million regulatory termination fee is $86 million higher than the $634 million termination fee, and if both are payable Emera would owe only the higher fee.

The filing also says Emera, ATCO and Canadian Utilities must clear shareholder, court, regulatory and stock exchange approvals before the arrangement can close. It says no more than 10% of the outstanding ATCO shares or Canadian Utilities shares may have valid dissent rights outstanding in Emera's favor. The deal still depends on those approvals before it can close.

What's next

A joint management information circular will be filed on Emera's SEDAR+ profile before the meetings. The record date will be set later by the parties, and each meeting is expected in the first quarter of 2027.

Approval of the Emera share issuance, ATCO's continuance under the Canada Business Corporations Act and the arrangement would move the deal forward. A failed vote or missed regulatory approval would weaken it. The arrangement agreement can be terminated if it is not completed by December 31, 2027.

That date can move by 90 days if any key regulatory approval is still outstanding and no key regulatory approval has been denied by a non-appealable decision. The filing says the outcome still depends on those approvals and the later meeting votes.
