Salesforce, Inc. (NYSE: CRM) Agrees to Buy Braze, Inc. (NASDAQ: BRZE)

What happened

Salesforce, Inc. (NYSE: CRM) agreed to buy Braze, Inc. (NASDAQ: BRZE) for $5.66 billion in enterprise value. The cash transaction values each Class A share at $47.50 and is expected to close in fiscal 2028, subject to shareholder and regulatory approvals.

The target connects live customer behavior with messages across apps, websites, email and other channels. For Salesforce, Inc. (NYSE: CRM), that expands Marketing Cloud's real-time consumer engagement tools. The strategic fit is clear. The price and near-term dilution are the investor test.

Why it matters

Braze, Inc. (NASDAQ: BRZE) reported $227.23 million in revenue for the quarter ended July 31, up 26.2% from a year earlier. Multiplying that quarter by four gives $908.92 million of annualized revenue. The $5.66 billion enterprise value equals 6.23 times that run rate.

That multiple buys growth and improving cash generation, not current GAAP profit. Braze, Inc. (NASDAQ: BRZE) reported an $18.3 million quarterly net loss. It also generated $21.7 million of non-GAAP free cash flow. Better cash conversion supports the premium, while the net loss leaves immediate profit accretion unproved.

Salesforce, Inc. (NYSE: CRM) held $11.40 billion of cash and marketable securities on July 31. The deal value equals 49.6% of that balance. Management expects growth accretion alongside near-term profitability dilution. This is not a liquidity forecast because closing comes later, future cash generation can add capacity, and the comparison excludes other obligations.

The favorable case is wider distribution and cross-selling across the combined customer bases. The transaction deck also identifies significant operating efficiencies. The countercase is integration risk and an unquantified return. Management gave no revenue synergy, cost-saving target or deal-specific margin path.

What's next

Watch shareholder and regulatory approvals, then customer retention, cross-selling, incremental revenue and post-close operating margin. Salesforce, Inc. (NYSE: CRM) left fiscal 2027 guidance and its fiscal 2030 framework unchanged, so existing guidance is not evidence that the deal works. The acquisition becomes convincing only if added growth and cash flow outweigh dilution and integration costs.
