Why it matters
The agreement puts the deal value at RMB300 million, or US$44.61 million, using an exchange rate of US$1 to RMB6.7249 on October 14, 2026. The share issuance represents US$33.61 million of that amount, while the cash leg is US$11 million. It also gives the sellers a valuation reference going forward. That gives the deal a price tag investors can track.
For investors, this is a signed acquisition, not a closed one, so it sets a clear milestone without proving the transfer is done. OptimistFi's case is that AIFU needs stability and cash discipline, and this filing is mixed for that view because it adds an acquisition while leaving closing and payment timing open. The transfer still depends on the closing conditions in the agreement.

What's next
Only about 24.7% of the US$44.61 million consideration is cash, based on the US$11 million deferred payment. The filing also caps the buyer's aggregate liability for indemnification claims at US$30 million, which limits seller-side recourse but leaves the buyer with exposure if post-closing disputes arise. That is the clearest downside in the filing.
Closing is due no later than the fifth business day after the Section 5.1, Section 5.2 and Section 5.3 conditions are satisfied or waived. A timely closing would strengthen the deal case, while any missed condition would leave the transaction unfinished and the deferred cash leg still contingent on closing. The cash payment to Modern Holding Ltd. stays scheduled within 365 days after closing.
