IRSA (NYSE: IRS) approves ARS 211 billion dividend and merger

What happened

IRSA Inversiones y Representaciones Sociedad Anónima (NYSE: IRS) said shareholders approved a cash dividend of ARS 211 billion. The vote was held at the ordinary and extraordinary shareholders' meeting on October 22, 2026. The company filed the summary on October 23, 2026. Shareholders also approved the fiscal-year documents.

They approved profit of ARS 394.08 billion for the year. They also set aside ARS 20.85 billion for the legal reserve and ARS 185.15 billion for a special reserve that can fund dividends, share repurchases and projects. The filing says the board will carry out the payment in the most operationally efficient way.

Board compensation was set at ARS 24.29 billion for the fiscal year ended June 30, 2026. The filing says that amount is ARS 4.59 billion above the 5% limit because of the proposed dividend. Shareholders renewed Fernando Adrián Elsztain, Oscar Pedro Bergotto, Daniel Ricardo Elsztain and Nicolás Bendersky through June 30, 2029. They also named Gastón Roberto Kaplan as an alternate director through June 30, 2028.

Shareholders also approved a merger by absorption of Tienda Los Gallegos S.A. and Los Gallegos Martinez Navarro y Cia S.A. into IRSA. The filing says there is no share exchange ratio because IRSA already owns 100% of both companies. It also approved the merger statements and the preliminary merger agreement.

Why it matters

The dividend is about 53.6% of reported fiscal-year profit. That means a large share of earnings is being returned to shareholders in cash. OptimistFi's case is that scarce local property and land can keep turning inflation and normalization into cash, not just accounting gains. This vote supports that view. The special reserve keeps ARS 185.15 billion available for later distributions, buybacks or projects tied to the business plan.

The main caveat is that the filing records approvals, not payment or closing. It does not say the dividend has been paid or that the merger has closed. Investors still need execution. If the board carries out the payout and the merger moves through registration cleanly, the filing will have turned into cash and structural progress.

What's next

The next test is execution. The board must complete the dividend payment, and the merger still needs regulatory registration. Completion would strengthen the case for cash conversion. Delay or objection would weaken it.
