What happened
Kosmos Energy Ltd. (KOS) extended the final maturity of its commercial debt facility to April 1, 2033, and accepted a new minimum liquidity covenant.
The company amended and restated the facility on Oct. 30. Principal repayments now begin Oct. 1, 2029 and continue in equal amounts every six months until the final maturity date.
The new covenant requires Kosmos to keep at least $200 million of liquidity, tested every six months starting March 31, 2027. The filing also describes the functional removal of the debt service reserves account.
The facility is now $1.2 billion, in line with total commitments. Kosmos can raise commitments by up to $550 million more, for a total of $1.75 billion, subject to conditions and exceptions.

Why it matters
The deal trades a longer runway for tighter terms. The later maturity and later start to repayments give Kosmos more time to turn production into cash.
OptimistFi has argued that Kosmos creates value only if its offshore assets generate cash before balance-sheet pressure forces value leakage. The extension helps that argument on timing.
The costs are concrete. The interest margin is 4.50% for the first three years, then rises during the repayment period. Kosmos expects approximately $20 million in fees and expenses, about 1.7% of total commitments by the filing's figure, to be spread over the life of the facility.
OptimistFi reads the amendment as mixed for its case. The runway is longer, but the liquidity floor, the higher margin and the fees mean balance-sheet pressure remains.

What's next
The first test of the minimum liquidity covenant comes on March 31, 2027. Meeting it would support the runway argument. A shortfall would bring the facility's listed covenant-default remedies into play.
Kosmos says it will file the full agreement as an exhibit to its annual report on Form 10-K for the year ended Dec. 31, 2026.
