
Forum Markets Incorporated held its 2026 annual meeting of stockholders virtually on Aug. 19, with shareholders electing three Class II directors, approving an advisory vote on executive compensation and ratifying the company’s independent accounting firm.
John Saunders, the company’s Chief Financial Officer, Vice President of Finance and Secretary, opened the meeting at 10:00 a.m. Eastern Time. Saunders said the virtual format enabled the company to reach a greater number of stockholders. Shareholders of record as of June 24, 2026, who had registered for the meeting were permitted to submit questions through the meeting web portal.
Quorum Established
The Inspector of Elections reported that 68.5% of the voting power of Forum Markets’ outstanding common stock entitled to vote was represented in person or by proxy. The company therefore established a quorum and proceeded with the business of the meeting.
Rudisill said Broadridge Financial Solutions had provided an affidavit confirming that notice of the meeting was properly delivered to shareholders of record. The company said copies of the notice and affidavit would be incorporated into the meeting minutes.
Director Elections and Other Proposals
Shareholders considered three proposals:
- The election of three Class II directors to serve until the 2028 annual meeting of stockholders and until their successors are elected and qualified, unless they resign or are removed earlier.
- An advisory, non-binding vote on the compensation of the company’s named executive officers, as disclosed in the proxy statement.
- Ratification of M&K CPAs, PLLC as the company’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.
Rudisill said Forum Markets did not receive shareholder nominations for director candidates before the deadline specified in its bylaws. He also said the company did not receive any shareholder proposals or other business for consideration at the meeting.
While shareholder approval was not required for the auditor appointment, Rudisill said the board submitted the matter for a vote as a matter of good corporate practice.
Preliminary Results
Voting polls opened at 10:05 a.m. Eastern Time and closed at 10:06 a.m. Eastern Time. Based on the preliminary report from the Inspector of Elections, McAndrew Rudisill, Ryan Smith and Jason New were elected as Class II directors.
Shareholders also approved the advisory proposal concerning named executive officer compensation and approved the ratification of M&K CPAs, PLLC as the company’s independent registered public accounting firm for 2026.
With no further business presented, the meeting was adjourned.
