MiniMed Group Stockholders Approve All Proposals, Back Annual Say-on-Pay Votes

MiniMed Group (NASDAQ:MMED) stockholders approved all four proposals presented at the company’s 2026 annual meeting, including the election of four Class I directors, the ratification of PricewaterhouseCoopers LLP as independent auditor, and advisory votes on executive compensation and the future frequency of say-on-pay votes.

Chairman of the Board Kevin Lofton opened the virtual meeting and introduced the directors, management team and representatives of PricewaterhouseCoopers LLP. MiniMed Chief Executive Officer Que Dallara, Chief Financial Officer Chad Spooner, and General Counsel and Corporate Secretary Sheila Denton were among the management representatives present.

Denton said the company had four matters before stockholders, as outlined in the notice of annual meeting and proxy statement made available on Aug. 21, 2026.

  • Election of Kevin Lofton, David Endicott, D. Keith Grossman and Timothy Wicks as Class I directors.
  • Ratification of PwC as MiniMed’s independent registered public accounting firm for fiscal 2027.
  • A non-binding advisory vote approving compensation for the company’s named executive officers.
  • A non-binding advisory vote on whether future say-on-pay votes should occur every one, two or three years.

Quorum Established for Annual Meeting

According to Denton, MiniMed had 281,349,931 shares of common stock outstanding and entitled to vote as of the Aug. 11, 2026 record date. The Inspector of Election reported that 278,485,985 shares were represented in person or by proxy, establishing a quorum.

Lofton said the meeting was duly convened after the quorum was confirmed. Stockholders were able to vote online through the close of the polls, while those who had already voted by proxy did not need to take additional action unless they wished to change their vote.

All Proposals Receive Approval

After the polls closed, Denton reported that, based on the Inspector of Election’s preliminary report, each proposal passed.

The four director nominees—Lofton, Endicott, Grossman and Wicks—were elected as Class I directors. Stockholders also ratified PwC’s appointment for fiscal 2027 and approved the advisory resolution on named executive officer compensation.

In the advisory vote on the frequency of future say-on-pay votes, stockholders approved an annual, or one-year, frequency.

The company said it expects to report final voting results in a Form 8-K filing with the Securities and Exchange Commission within four business days of the meeting.

No stockholder questions were submitted regarding the proposals or during the general question period, according to Denton. Lofton then adjourned the meeting, thanking stockholders for their continued support.
