Why it matters
OptimistFi's case is that IDAI only works if T Stamp turns identity software into repeatable revenue before dilution eats the upside. This filing weakens that case by adding another equity funding channel. It does not show new operating revenue. The reimbursable expense cap is about 0.75% of the ATM cap, so the fixed costs are small next to the possible share issuance.
T Stamp says no assurance can be given on price, amount or timing, and it does not have to sell any shares. Future disclosure of sales would show whether T Stamp uses the facility. For now, the filing is a financing option, not proof that the business has cleared its revenue hurdle.

Any sales will depend on T Stamp's future instructions and the agreement's terms. The company and Maxim can also end the arrangement on 15 days' written notice. If T Stamp later discloses sales under the facility, investors can see how much of the cap is used and how much dilution follows.
