Fermi (NASDAQ: FRMI) trims debt pressure for $25 million amendment fee

What happened

Fermi Inc. (NASDAQ: FRMI) said on October 16, 2026, that two subsidiaries signed an amendment with MUFG Bank, Ltd. Fermi Turbine Warehouse LLC and Firebird Equipment Holdco LLC entered into Limited Waiver and Amendment No. 1 to the Equipment Supply Loan Financing Agreement dated February 10, 2026.

The amendment removes the covenant that the company enter a lease or offtake arrangement for 400 MW on the Project Matador site by November 10, 2026. It also eliminated the potential increase in amortization tied to that covenant. MUFG remains administrative agent for a new syndicate of lenders.

Why it matters

OptimistFi's case is that Fermi is a speculative AI-power infrastructure option whose value depends on converting a large early balance sheet into contracted, financeable capacity before development risk and dilution overwhelm owners. This amendment helps that effort by easing near-term principal pressure and pushing back one specific covenant test.

The filing says the change eliminates potential required principal payments of approximately $22 million in the fourth quarter of 2026 and approximately $19 million in the first quarter of 2027. It also removes approximately $15 million in the second quarter of 2027. Fermi also paid $25 million in amendment fees.

That fee is the clearest caveat in the filing, because the relief comes with a direct cash cost. That is a real tradeoff. Taken together, the move buys breathing room rather than cash proceeds, and that only helps if the company turns it into contracted capacity.

What's next

The next quarterly report is the next scheduled test of whether this amendment translates into less near-term debt pressure. It will also show whether the company can keep the Project Matador financing path moving after giving up the 400 MW covenant.

A report that keeps principal pressure contained would support the case. A report that brings back financing strain would weaken it. The filing makes the amendment itself the new baseline for judging that progress.

The next report will show whether the relief lasts through the quarters named in the filing for owners and lenders.
