Bolt (NASDAQ: BOLT) announces Prana acquisition and $120 million financing

What happened

Bolt Biotherapeutics, Inc. (NASDAQ: BOLT) said it is acquiring Prana Therapies and raising $120 million in upfront financing. The deal is structured as a sign-and-close reverse merger, with Prana equity swapped for Bolt common stock and Series D non-voting convertible preferred stock.

Bolt said the private placement could add up to another $60 million if warrants are exercised, and the financing is expected to close on October 26, 2026. Equity holders of Bolt immediately prior to the acquisition will own about 6.9% of common stock, equity holders of Prana immediately prior to the acquisition will own about 51.7%, and placement investors about 41.4%. Sheila Gujrathi, M.D., Prana's co-founder and former chief executive officer, will join Bolt's executive team and board.

Why it matters

OptimistFi's case is that BOLT is a distressed biotech option whose equity value depends on validation arriving before cash burn and dilution consume the residual claim. This filing strengthens that case because Bolt said the $120 million upfront proceeds are expected to fund operations into 2028 and through multiple anticipated clinical and preclinical milestones.

The combined company will focus on PRA-216, a novel IL-4Rα/TSLP bispecific antibody in Phase 2 for asthma, chronic obstructive pulmonary disease and atopic dermatitis, with a Phase 2 eosinophilic esophagitis study planned. The warrant package could add proceeds equal to 50% of the upfront financing, but that extra cash depends on exercise and the company still needs stockholder approval for conversion.

What's next

Bolt will host a conference call and webcast on October 26, 2026 at 8:30 a.m. ET to discuss the transaction, financing and the pipeline. The company said patient data from all four trials is expected beginning in the second quarter of 2027 and continuing through the fourth quarter of 2027.

Positive readouts would strengthen the case, while delays or weak data would leave Bolt leaning more heavily on the new financing. Bolt also has to hold a stockholder meeting for the vote that allows Series D preferred stock to convert into common stock. The warrants expire on the earlier of 30 days after the company's first public disclosure of top-line results from Program 2 Phase 1 or June 30, 2028.
