What happened
Meta Platforms, Inc. (NASDAQ: META) launched a funding plan with approximately $35 billion of underwritten offerings and a possible $60 billion Class C stock program on October 26. Together, the $95 billion capacity equals 67.9% of the midpoint of 2026 capital-spending guidance, but exact shareholder dilution remains unpriced.
The immediate package includes $22.5 billion of Class A common stock through forward sales and about $12.5 billion of depositary shares tied to mandatory-convertible preferred stock. The company also described a possible at-the-market program for its planned nonvoting Class C stock.
The $60 billion program has no agreement, final terms or confirmed sales. The company does not expect it to start before the first quarter of 2027. Common pricing, preferred conversion terms and actual Class C sales remain open.

Why it matters
The immediate $35 billion package is almost exactly one quarter of current infrastructure spending. Third-quarter capital expenditures, including finance-lease principal, were $34.91 billion. The announced underwritten amount equals 1.003 times that outlay.
The full plan also equals 97.9% of the $97 billion in operating cash flow generated through September. That comparison explains why the financing matters even though it is not all committed capital. It could fund a large share of the buildout without consuming the existing cash balance.
This changes the investment case. Meta Platforms, Inc. (NASDAQ: META) has historically funded AI and other long-horizon bets from advertising cash flow. Equity is now a material part of the plan, so per-share returns depend more directly on issue prices and share-count growth.
The counterargument is balance-sheet strength. The company ended September with $82.45 billion of cash, cash equivalents and marketable securities. Third-quarter revenue rose 26% to $64.60 billion. The $60 billion program is only planned, and diversified funding can reduce reliance on debt.

What's next
Watch the offering price, preferred dividend and conversion band, plus any exercise of the underwriters' options. The Class A forward sales can settle through November 19, 2027. Announced capacity is not the same as cash received today.
The decisive test is whether incremental revenue and free cash flow from AI outpace the added share count. Until Meta Platforms, Inc. (NASDAQ: META) reports actual issuance, $95 billion is funding capacity rather than measured dilution.
