Why it matters

The financing leaves the operating question in the investment case unchanged. OptimistFi has argued that West's stock works only if high-value biologics demand and premium component economics reaccelerate after the recent margin reset. A credit agreement moves neither.

OptimistFi calculates that the Term A loan is 21.1% of the initial total, so most of the agreement sits in its other parts.

Borrowing costs are tied to leverage. Until West delivers the compliance certificate for the quarter ended March 31, 2027, margins stay at the lowest tier. That is 1.000% over Term SOFR on revolver loans and 1.125% on the Term A loan.

At a net leverage ratio of 3.50 to 1.0 or higher, those margins rise to 1.500% and 1.750%. After the first certificate, the cost of both loans will move with West's net leverage ratio.

The commitment fee follows the same tiers, from 0.125% to 0.225%. When West measures net debt, it can subtract at most $400 million of unrestricted cash and cash equivalents from total debt.

What's next

The next test is the compliance certificate for the quarter ended March 31, 2027. Until West delivers it, margins and the commitment fee stay at the lowest tier, so current pricing is provisional.

A net leverage ratio below 1.00 to 1.0 would keep West at the lowest tier. A ratio of 3.50 to 1.0 or higher would move margins to the top tier and weaken the financing picture.
