Brinker’s CEO sells 27.7% of reported shares in a pre-planned sale (NYSE: EAT)

What happened

Kevin Hochman, president, CEO and a director of Brinker International, Inc (NYSE: EAT), sold 40,000 shares of common stock on Oct. 29. The shares went at a weighted average of $220.38, for about $8.82 million in total.

The Form 4 says the sales were made in multiple transactions at prices from $216.44 to $224.16. Hochman undertook to give Brinker, any shareholder or SEC staff the number of shares sold at each price on request.

Hochman still held 104,603 shares directly after the sale. The form checks the box showing the trades were made under a written plan meant to meet the affirmative defense conditions of Rule 10b5-1(c). Hochman adopted that plan on March 4, 2026.

Christopher L. Green signed the form as attorney-in-fact on Oct. 30.

Why it matters

OptimistFi calculates that the 40,000 shares were 27.7% of the 144,603 shares Hochman held before the trade. That is a large cut in the stock the company's top executive holds directly, and the remaining 104,603 shares keep Hochman exposed to the share price.

The plan was adopted months before the sale, so the trade is weaker evidence of a fresh negative view of the business. A plan sale shows when shares were sold, not how the business is trading, so operating results carry more weight for the case.

OptimistFi has argued that Brinker creates durable value by driving restaurant traffic with a value-led menu and turning brand strength into recurring cash flow. A pre-arranged sale by the CEO does not test that argument, so the sale leaves the investment case unchanged.

What's next

Brinker's next quarterly report is the next test of the investment case. Investors can check it for traffic and company sales, the measures OptimistFi's view rests on. Growth there would support that view, while a slowdown would weaken it regardless of Hochman's plan.
