Skyline Builders (NASDAQ: KAZR) ends Cove Kaz merger, plans to pass 26% stake to holders

What happened

Skyline Builders Group Holding Limited (NASDAQ: KAZR) and Cove Kaz Capital Group LLC mutually ended their business combination agreement on Nov. 1. They announced it on April 30, 2026. Skyline now expects to hand its Cove Kaz stake to its own shareholders instead.

Cove Kaz plans a direct listing of its Class A common stock on the Nasdaq Stock Market or the New York Stock Exchange in the first half of 2027. Before that, Skyline is to receive 63,994,955 Cove Kaz Class A shares through a series of private transactions.

Two steps deliver those shares. Kaz Resources LLC distributes the Cove Kaz shares it holds, in exchange for redeeming 100% of Skyline's equity in Kaz Resources. Cove Kaz also issues shares to cancel all amounts due under the convertible loan from Skyline, under which Skyline disbursed $45.0 million.

What Skyline shareholders would get

A new financing sets the price tag. Cove Kaz secured a $32 million capital commitment for four million shares at $8.00 each. That implies an equity value of $1.97 billion for Cove Kaz. Skyline said its stake would be worth over $500 million once the commitment closes.

The stake is about 26% of Cove Kaz, measured just before the direct listing. That is before a planned employee stock option plan of up to 10% of Cove Kaz's fully diluted capitalization.

Skyline also gave a per-share value. On an as converted fully diluted basis it has 147 million shares outstanding, which it says values the Cove Kaz investment at $3.40 a share. Cove Kaz said the new commitment is a 76% uplift in its valuation compared with the prior funding from Skyline.

The Cove Kaz shares Skyline receives will be restricted securities under Rule 144. The parties agreed to register Skyline's later distribution of those shares to its shareholders, pro rata, in the direct listing registration statement.

Why it matters

For a holder, the filing swaps a merger for a minority stake that Skyline intends to pass through. Skyline's management concluded this will likely be a much faster route for shareholders to realize their value in Cove Kaz than the merger. Holders would keep their Skyline shares and also own Cove Kaz shares.

After the distribution, Skyline said it expects to acquire another entity in the critical minerals sector. It is in talks with many potential targets. The press release calls Skyline a holding company seeking to become a supplier of critical minerals and nuclear fuels, with main assets still in the construction industry in Asia.

The headline value rests on a financing that has not closed. The 6-K says the transactions remain subject to regulatory approvals. The financing remains subject to due diligence and definitive documentation. There is no assurance they will be completed. Skyline also said the timing of the financing and the listing is outside its control.

OptimistFi has argued that KAZR works only if its construction business turns contract demand back into operating profit and cash. This filing moves the value question to a minority stake in a company not yet listed and to a later acquisition. OptimistFi sees the effect on that case as mixed.

What's next

Cove Kaz's direct listing, planned for the first half of 2027, is the test. A completed listing would put Cove Kaz stock on a major exchange, where the placement price can be compared with market trading. A delay or a financing that fails to close would leave the over $500 million figure as a projection.

Skyline must also change its ticker and release KAZR within 15 days of the Nov. 1 term sheet. Then Cove Kaz will have the right to reserve the symbol.

All parties can end the term sheet by written consent. If that happens, the amended Skyline loan matures 15 business days later.
