Realty Income (NYSE: O) nudges up AFFO outlook and widens its funding sources

What happened

Realty Income Corporation (NYSE: O) raised its 2026 AFFO per share guidance by a cent at each end, to $4.45 to $4.46. It also kept its $10.0 billion investment target for the year.

Why it matters

Per-share cash earnings are growing faster than the dividend, which is what an income investor needs. AFFO per share growth beat the 0.7% rise in monthly dividends paid per share, to $0.813 from $0.807. Those dividends equaled 72.6% of the quarter's AFFO per share.

In September, Realty Income announced its 116th consecutive quarterly dividend increase. The annualized dividend was $3.258 per share as of Sept. 30. Over nine months, AFFO per share was $3.35 against $3.19 a year earlier, a 5.0% gain by OptimistFi's calculation.

OptimistFi has argued that Realty Income's net-leased portfolio turns long-term rents into predictable cash flow that supports a growing dividend. The quarter fits that view because earnings per share grew with room left after the payout.

How the quarter was funded

In August, Realty Income issued $1.0 billion of 3.750% convertible senior notes due August 2031 in a private offering. Net proceeds were $983.2 million. It spent about $33.2 million on capped call transactions with a cap price of $83.55 per share, 35.0% above the $61.89 NYSE close on Aug. 11. It also spent about $188.7 million to repurchase about 3.0 million shares.

The company raised $472.5 million from common stock sales in the quarter at a weighted average $60.49 per share. Most of that came from settling 7.8 million shares under its at-the-market forward sale agreements. Another 18.5 million shares remain unsettled, representing about $1.1 billion in expected net proceeds.

In September, KKR invested 528.0 million for a 49% equity interest in a new, euro-denominated joint venture. It holds 54 stabilized net lease properties across four European countries. Net debt stood at 5.4 times annualized pro forma adjusted EBITDAre, and total available liquidity at Realty Income's pro-rata share was $5.4 billion.

What the portfolio produced

Total revenue was $1.62 billion, up 10.3% from $1.47 billion a year earlier by OptimistFi's calculation. Core rent growth was slower. Same-store rental revenue rose 1.1% in both the quarter and the nine months across 14,443 properties. Portfolio occupancy was 98.8%, against 98.7% a year earlier.

Properties re-leased in the quarter carried new annualized base rent of $67.6 million against $65.3 million before, a rent recapture rate of 103.5%.

Lending is growing quickly. Interest and dividend income on loans and preferred equity investments was $105.0 million, more than double the $51.1 million a year earlier. Credit investments totaled $1.92 billion over nine months.

What holders should weigh

The guidance raise is small. A cent at each end, plus 1.1% same-store growth, suggests the outlook leans on new investment and capital markets activity more than on faster rent increases.

The new range also implies a softer finish. Subtract the nine-month actual from the range and the fourth quarter comes to $1.10 to $1.11 of AFFO per share, below the third quarter.

Net income includes a $113.9 million gain on real estate sales and $111.6 million of impairment provisions. The filing says these items vary from quarter to quarter. Full-year net income per share guidance was cut to $1.55 to $1.56 from $1.59 to $1.60. The filing says that guidance leaves out future impairment and foreign currency or derivative gains or losses.

What's next

The fourth-quarter report will test the guidance. AFFO per share near the implied $1.10 to $1.11 would support the new range. A shortfall would weaken the case.

Investment volume is the second test. The company needs $2.1 billion more to reach its target. Settling the 18.5 million unsettled forward shares would bring in the expected equity proceeds.
