HSBC (NYSE: HSBC) lines up one-third buyback of convertible securities

What happened

HSBC Holdings plc (NYSE: HSBC) announced an anticipated cash tender offer for up to $1 billion of its 6.000% Perpetual Subordinated Contingent Convertible Securities. Accepted holders would get 100.50%, or $1,005.00 per $1,000.00 of principal, plus accrued interest. The securities are callable May 22, 2027 and every five years thereafter.

The series had $3 billion outstanding when HSBC filed the offer. The launch is expected by 10:00 a.m. New York City time on Nov. 5, and the offer is set to expire at 5:00 p.m. on Nov. 19 unless extended or ended earlier.

The filing says the offer is not conditioned on any minimum level of participation. If valid tenders exceed the cap, HSBC may prorate acceptances and round purchases down to the nearest $1,000 principal amount. Holders who tender less than all of their securities must keep at least $200,000 in principal, and accepted securities will be cancelled and retired. Tenders may be withdrawn any time at or before the expiration time.

Why it matters

HSBC said the offer is being undertaken to proactively manage its Tier 1 capital base, and it expects to finance the purchase with cash on hand. HSBC also expects to launch a proposed new issuance of perpetual subordinated contingent convertible securities that are not part of the offer.

At about 33.3% of the series, the maximum tender could retire a portion before any proration. The strongest caveat is that HSBC can increase or decrease the cap, including after pricing the proposed new issuance, and completion depends on that issuance closing on terms HSBC finds satisfactory. That leaves the final balance-sheet impact uncertain until settlement.

What's next

The next dated checkpoints are Nov. 19, when the offer expires, and Nov. 24, when HSBC expects settlement if conditions are met or waived. A completed settlement would trigger cancellation and retirement of accepted securities, while a failed new issuance would block the offer.
