What happened

Alclear Investments, LLC, a Clear Secure, Inc. (NYSE: YOU) director and 10% owner, sold 176,096 shares on Nov. 4. Shares from a one-for-one exchange of Alclear units settled the sale, so Alclear Investments keeps a much larger position.

The shares sold in two blocks. Alclear Investments sold 165,395 shares at a weighted average of $60.47, within a range of $60.00 to $60.99. It sold 10,701 shares at a weighted average of $61.26, within a range of $61.00 to $61.58. Together they came to about $10.66 million.

The Form 4 says an automatic Rule 10b5-1 trading plan made the sales. On Nov. 5, the same number of Class C shares and Alclear Holdings, LLC common units were exchanged one-for-one for Class A shares under an exchange agreement dated June 29, 2021. The filing says the exchange rights do not expire.

The filing says Alclear Investments may be deemed a director by deputization through Caryn Seidman Becker, its sole manager.

Why it matters

The sale line shows 0 Class A shares left, but the exchange explains it. The new Class A shares settled the sale, and 151,787 Class A shares are held afterward. Alclear Investments also holds 17,630,246 Class C shares and the same number of Alclear Holdings, LLC units. Class C shares carry one vote each but no economic rights.

The plan was adopted March 12, 2026, so the sales ran automatically and may not reflect a fresh view of the company. The sale leaves the investment case unchanged. OptimistFi has argued that Clear's value rests on turning its member base and airport footprint into recurring revenue. A plan-based sale does not test that.

What's next

Clear Secure's next quarterly report is the next scheduled test of OptimistFi's view that member growth turns into recurring subscription revenue and strong cash conversion. Weaker subscription growth or partner adoption would hurt that case more than this sale does.
