Element Solutions Inc. (NYSE: ESI) Growth Is More Than Acquisitions

What happened

Element Solutions Inc. (NYSE: ESI) reported third-quarter sales of $995.3 million, up 52%, while organic sales grew 13%.

The direct answer is that the quarter was not only an acquisition story. Electronics organic sales grew 18%, showing strong underlying demand. Acquisitions still supplied much of the reported expansion, and Specialties organic growth was only 1%.

Why it matters

The split matters because reported growth can overstate the speed of the existing business. The 13% organic growth rate divided by 52% reported growth equals 0.25. That means the organic rate was one-quarter of the reported percentage growth rate. It does not mean one-quarter of new revenue dollars were organic.

Electronics generated $779.6 million of sales, up 68%. Acquisitions contributed 30 percentage points, while organic growth supplied 18 points. Specialties reached $215.7 million, but acquisitions net of divestitures contributed 12 points against only 1 point organically.

Electronics represented about 78% of quarterly sales. That concentration gives Element Solutions Inc. (NYSE: ESI) meaningful exposure to semiconductor and electronics demand, but it also makes any reversal in that cycle more consequential.

Profit and cash also improved. Net income rose to $65.7 million from $39.3 million, adjusted EBITDA reached $191.0 million, and free cash flow was $135 million. Management raised full-year adjusted EBITDA guidance to about $720 million.

The strongest counterargument sits on the balance sheet. Cash fell to $224.9 million from $626.5 million at year-end. Goodwill rose to $2.55 billion, and other intangible assets increased to $987.3 million. Those changes make integration and return on acquired capital central risks.

What's next

The next test is whether Electronics can sustain double-digit organic growth while Specialties improves without another acquisition. Investors should also watch cash conversion, leverage, goodwill, and intangible assets in the fourth-quarter filing.

Organic growth is a company-defined non-GAAP measure, and adjusted EBITDA excludes costs that remain economically real. The quarter supports genuine demand, but it does not yet prove that acquisition-heavy growth will earn attractive returns.
