What drove the loss

The impairment charge is a one-time item, not a read on rent collections. Net loss attributable to common stockholders was $638.5 million, and the filing says that figure includes the charge.

Two smaller items also touched the quarter. Alexandria booked a $3.3 million loss on early extinguishment of debt after amending its credit line. Investment income of $24.0 million combined $16.0 million of realized gains and $21.6 million of unrealized gains with $13.6 million of impairment charges.

The operating picture is softer. Same-property net operating income fell 6.7% in the quarter and 9.2% year to date. The filing blames lower same-property occupancy, mainly from previously disclosed lease expirations.

The $1.0 billion junior notes and the credit line

In August, Alexandria completed a $1.00 billion offering of 7.250% Series A fixed-to-fixed reset rate junior subordinated notes due 2057. The rate holds through Feb. 15, 2032. It then resets every five years to the five-year U.S. Treasury rate plus 2.889%, with a 7.250% floor.

Alexandria may defer interest for up to five consecutive years. During a deferral, it faces limits on paying dividends and repurchasing equity. It can redeem the notes at 100% of principal plus accrued interest starting Nov. 17, 2031.

The company says key rating agencies give the notes 50% equity treatment in its credit metrics. The issuance let it cut the midpoint of its 2026 disposition guidance by a matching $1.0 billion. The 4Q26 annualized target for net debt and preferred stock to Adjusted EBITDA stays at 5.6x to 6.2x.

The fixed-charge coverage target fell to 3.4x to 3.9x from 3.6x to 4.1x. The filing says the notes are the main reason. Interest expense guidance of $260 million to $300 million is unchanged, but Alexandria expects the high end, partly because of the notes.

In September it closed an amended $5.0 billion unsecured senior line of credit. Maturity moved from Jan. 22, 2030 to Jan. 22, 2032. The rate fell to SOFR plus 0.725% from SOFR plus 0.835%.

Leasing improved, renewal rents did not

Third-quarter leasing totaled 1,236,030 rentable square feet (RSF). That is about 256,000 RSF above the 979,822 RSF quarterly average for 1Q25 through 2Q26. The filing calls it the highest quarterly volume since 4Q24. Leasing of previously vacant space reached 450,961 RSF, which the filing calls the second-highest quarterly amount in company history.

Pricing was weaker. Renewals and re-leasing of space carried rental rate changes of negative 2.4% in the quarter, or negative 3.3% on a cash basis.

Executed leases for 1.3 million RSF are not yet occupied. They are expected to bring about $52 million of annual rental revenue, with a weighted-average occupancy date of about June 2027. At 311 Arsenal Street, leases for advanced technology use let Alexandria switch to a lower-cost plan. That cuts future construction spend by about $220 million.

Why it matters

OptimistFi has argued that Alexandria works if its lab campuses stay mission-critical enough to refill and reprice space through a downcycle while protecting cash flow and the balance sheet. This quarter supports the refill and balance sheet parts. Pricing and cash flow still lag, so the filing leaves the case mixed.

The notes protect credit metrics without a common equity raise. Alexandria says it does not expect to issue any common equity in 2026. The cost is a lower coverage target and heavier interest expense.

The caveat is occupancy. Operating properties were 87.1% occupied at Sept. 30, or 90.8% counting executed leases not yet occupied. Year-end guidance of 86.2% to 87.8%, unchanged from Aug. 3, brackets the current level. Leasing volume has not yet lifted the occupancy outlook.

What's next

Alexandria holds its earnings call on Tuesday, Oct. 27, at 2:00 p.m. Eastern. Listeners will want detail on how same-property net operating income and renewal rents trend against the unchanged year-end occupancy range.

The sale of 421 Park Drive to an institutional user is expected to close in 4Q26. It would cut future construction spend by about $136 million. Completed dispositions and partial-interest sales total $716.8 million as of Oct. 26. That includes the $475.0 million October sale of a roughly 29% interest in Campus Point.

Adding pending deals, including some still in negotiation, takes the total to about $2.62 billion, above the $1.90 billion guidance midpoint. The filing says some proceeds may slip into 2027. The company also has up to $500.0 million of buyback authority through Dec. 31, 2026. No shares had been repurchased as of Sept. 30.
