Why it matters

Jackson kept most of the position. By OptimistFi's calculation, the sales equal 4.7% of the 164,264 shares held before the trade.

Both sales were reported as held directly. The filing also ticks the box for plans meant to meet the affirmative defense conditions of Rule 10b5-1(c).

Part of the retained position is still vesting. The filing says the restricted and performance units vest over three years, with 33.33% of the units vesting each year.

The plan was approved a year before the first sale. That limits what the trade says about current views on ICE.

OptimistFi has argued that ICE turns exchange infrastructure, market data and workflow software into durable, high-margin cash flow. A planned sale of this size by the president leaves that case unchanged.

What's next

The next dated items sit in Jackson's performance units. The filing says the shares from the Deal Incentive Awards will not be set until December 2026, December 2027 and December 2028. They will carry further time-based vesting conditions.

Shares under the 2024 three-year total shareholder return and EBITDA units will not be set until February 2027 and will be reported at vesting. A new Form 4 showing further sales after those dates would test the unchanged read.
